Job Summary:
The Corporate Legal Assistant provides administrative support to the legal department, assisting in contract drafting, document management, research, and other corporate legal functions. This role requires strong organizational skills, attention to detail, and a foundational understanding of legal procedures, particularly in contract law.
Key Responsibilities:
Contract Drafting and Review:
Assist in drafting, reviewing, and proofreading various types of corporate contracts, including NDAs, vendor agreements, employment contracts, and more.
Ensure that contracts comply with legal requirements and company policies.
Maintain and organize contract templates for the legal department.
Document Management:
Organize and maintain corporate legal documents, including minutes, resolutions, bylaws, and other governance materials.
Manage digital and physical filing systems, ensuring documents are easily accessible.
Track the status of contracts and agreements, ensuring that deadlines are met.
Research and Legal Support:
Conduct legal research on topics related to corporate law, compliance, and regulations.
Assist attorneys with preparing legal documents, correspondence, and reports.
Stay updated on changes in laws and regulations that may impact the company.
Administrative Support:
Schedule meetings, prepare agendas, and record minutes for legal and corporate governance meetings.
Manage communications and correspondence, including email and phone calls, related to legal matters.
Coordinate with internal departments and external counsel as necessary.
