JOB - Company Secretary executive
About the Role – Finquest is currently looking to recruit a Company Secretary cum Compliance Officer with 2-8 years of work experience.
Job Description -
● Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate and Other Business Laws and regulations and guidelines
● Must have experience in SEBI listing Regulations.
● Will be responsible for managing Secretarial compliance for all Group Subsidiary entities.
● To ensure filing of various returns under Companies Act, 2013 and with Reserve Bank of India
● To assist for incorporation of new legal entities in India and abroad
● To assist for liquidation/winding up or restructuring of entities in India
● Co-ordinating with Secretarial Auditor, Statutory Auditor and Internal Auditor
● Organising, preparing agendas for and taking minutes of board meetings of group entities and ensuring the compliance of annual general meetings
● Assisting for Conducting Board Meeting, Committee Meetings and Annual General Meeting of the Company
● Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
● Drafting and finalization of Power of Attorney, letter of authorization for delegation of authority etc.
● To ensure updation of statutory registers and various other trackers etc.
● To ensure to have the repository of all the Secretarial and compliance related documents in safe custody both in physical and online mode.
● To assist in ensuring the compliance of Corporate Social Responsibility obligations and to liaison with implementing agencies to ensure the CSR money is spent in most appropriate manner.
Skills -
● Must Process strong domain knowledge and understanding of corporate laws, corporate governance, contacts law, registration, stamping etc.
