Job Overview:
The Company Secretary plays a key role in ensuring the company complies with all legal, regulatory, and corporate governance requirements. This position is vital for managing the relationship between the board, the shareholders, and other stakeholders. Key Responsibilities:
Corporate Governance:
Advise the board of directors on governance practices and regulatory requirements.
Ensure that board members are aware of and adhere to their legal duties, responsibilities, and obligations.
Draft, review, and implement policies related to corporate governance, ethics, and compliance.
Board Meetings & Administration:
Organize and manage the logistics of board meetings, annual general meetings (AGMs), and other shareholder meetings.
Prepare agendas for meetings, ensuring that relevant documents and reports are distributed in advance.
Attend meetings, take minutes, and ensure the timely circulation of meeting minutes and action points.
Ensure that decisions made by the board are properly documented and executed.
Regulatory Compliance & Legal Obligations:
Ensure the company complies with all local, state, and federal laws, as well as industry regulations.
Maintain statutory registers and records, such as the register of shareholders, directors, and resolutions.
File statutory returns with relevant authorities, such as the Registrar of Companies, tax authorities, and other regulatory bodies.
Liaise with external auditors and legal advisors on matters related to compliance, reporting, and governance.
Corporate Documentation & Reporting:
Draft, review, and manage legal documents, including contracts, agreements, and corporate filings.
