Job Description

1. Attending to Corporate/Company Secretarial matters with a Listed/Unlisted Companies within the group namely,

2. Handled all Corporate Law and Secretarial related matter including Holding Meetings, Drafting of Agenda

3. Notices and Minutes of the Board and Annual / Extraordinary General Meeting, Listing Compliances, and Compliance of Corporate Governance.

4. Liaison with Various Statutory Authorities . ROC, Stock Exchanges, filling of returns and other ROC related documents and maintenance of statutory register 4. Managing legalization work with MCA, ROC, SEBI, R &ST Agent various agencies,

4. Managing Quarterly, Six Monthly and annual based compliances with stock exchange viz shareholding pattern, secretarial report, corporate governance report,

5. Responsible for all corporate actions relating to issue of shares/NCDs, /transfer of shares/dividends to IEPF, compliance relating to listing agreement and SEBI guidelines.

6. Prepared and maintained the minute book and various other statutory register of companies

7. Compliances related to debt listing with the MCA and stock exchanges.

8. Prepared and filed e-forms as per requirement under the company law

9. Well versed with the latest amendments in Corporate Law

Specific demands on the job :

Knowledge of the Companies Act, 2013, Companies Rules and Secretarial Standards (SS)-1 and SS-2

Associate Member of ICSI (ACS)

A degree in law may be preferred but not essential

Proficiency in Companies Act, MS Office, Good email communication skill
