Responsibilities:

Draft and maintain accurate records of board resolutions and minutes.
Legal Compliance:
Keep abreast of changes in relevant laws and regulations affecting the company.
Develop and implement compliance policies and procedures.
Conduct internal audits to assess compliance levels.
Regulatory Compliance:
Monitor and ensure compliance with regulatory requirements from relevant authorities.
Prepare and submit statutory filings and reports as required by law.
Liaise with external legal counsel or regulatory bodies when necessary.
Risk Management:
Identify and assess legal and compliance risks.
Develop strategies to mitigate risks and ensure the company's interests are protected.
Company Secretarial Duties:
Manage company records, registers, and filings with regulatory authorities.
Facilitate communication between the board of directors, management, and shareholders.
Ensure compliance with corporate laws and regulations governing the company's operations.
Training and Awareness:
Conduct training sessions to educate employees on compliance policies and procedures.
Foster a culture of compliance and ethical behavior throughout the organization.
