Job Summary:

We are seeking a semi qualified and experienced Company Secretary to join our Chartered Accountant (CA) firm. The ideal candidate will be responsible for ensuring the firm and its clients comply with statutory and regulatory requirements and preparation of forms and registeres for the clients of the companies. The Company Secretary will provide advice on compliance and secretarial matters, and will play a key role in maintaining the highest standards of corporate integrity.

Key Responsibilities:

- Preparing board and committee meetings for clients, including preparing agendas, circulating papers, taking minutes, and ensuring follow-up on actions.

Regulatory Compliance:

- Ensure compliance with all relevant statutory and regulatory requirements, including the Companies Act, 2013, and Limited Liability Partnership Act, 2007.

- Oversee the filing of annual returns, financial statements, and other necessary documents with the Registrar of Companies (RoC) for clients.

- Manage compliance with secretarial standards issued by the Institute of Company Secretaries of India (ICSI).

- Registration of Partnership Firms and other document and deed draftings.

Company Law Advisory:

- Draft and review legal documents such as MOAs, AOAs, resolutions, and notices.

- Liaison with Regulatory Authorities:

- Maintain effective communication and liaise with regulatory bodies such as the Ministry of Corporate Affairs (MCA), Registrar of Firms and Societies.

- Corporate Record Keeping:

- Maintain statutory registers and records for clients, including the register of members, directors, and charges.

- Ensure the proper maintenance of minutes of board and general meetings for clients.

- Due Diligence:

- Conduct legal and secretarial due diligence for mergers, acquisitions, and joint ventures on behalf of clients
