Job Description
Key Responsibilities:
1. Corporate Governance:
* Advice the board on matters related to corporate governance and compliance with applicable laws and regulations.
* Organize and attend board meetings, annual general meetings, and other company meetings, ensuring compliance with legal and regulatory requirements.
* Draft and circulate agendas, minutes, and resolutions for board and committee meetings.
2. Statutory Compliance:
* Ensure compliance with company law and other relevant regulations.
* Maintain and update statutory registers and records as required by law.
* Prepare and file necessary documents with regulatory authorities NSE Listed.
3. Communication and Documentation:
* Act as a liaison between the company, its directors, and shareholders.
* Maintain and update the company's articles of association and other legal documents.
* Prepare and review contracts, agreements, and legal documents.
4. Risk Management:
* Identify and assess legal and regulatory risks affecting the company.
* Develop and implement strategies to mitigate risks and ensure compliance.
5. Advisory Role:
* Provide legal advice to the board and management on various matters, including contracts, compliance, and regulatory changes.
* Stay informed about changes in relevant laws and regulations affecting the company.
6. Ethics and Corporate Social Responsibility:
* Promote ethical practices within the organization and ensure adherence to corporate Social responsibility initiatives.
7. Training and Development:
* Conduct training sessions for directors and employees on corporate governance, compliance, and legal matters.
8. Board Support:
* Assist in the recruitment and induction of new directors.
* Facilitate communication between board members and ensure effective information flow.
Qualifications and Skills:
• Bachelor's degree in Law (Not Mandatory), Business Administration, or a related field.
