Job Title: Company Secretary

Position Overview:
The Company Secretary plays a critical role in ensuring that the company complies with legal and regulatory requirements and maintains high standards of corporate governance. Reporting to the Board of Directors, the Company Secretary is responsible for managing all corporate secretarial duties and providing guidance on legal and compliance matters.
Key Responsibilities:
Serve as the principal point of contact for the Board of Directors, shareholders, and regulatory authorities on all corporate governance matters.
Organize and facilitate Board and committee meetings, including preparing agendas, collating board packs, and drafting minutes.
Ensure compliance with corporate governance regulations, including the Companies Act and other relevant legislation, and advise the Board on compliance issues.
Maintain statutory records, registers, and filings with regulatory authorities, ensuring accuracy and timeliness.
Assist in the preparation and filing of annual reports, financial statements, and other statutory documents.
Coordinate the annual general meeting (AGM) and other shareholder meetings, including drafting notices, resolutions, and proxy forms.
Provide guidance and support to the Board and management on matters of corporate governance, ethics, and best practices.
Monitor changes in corporate governance regulations and advise the Board on potential impacts and actions required.
Liaise with external legal counsel, auditors, and other advisors on corporate secretarial and legal matters.
Assist in the implementation of corporate governance policies, procedures, and training programs.
