Job Description: Company Secretary (2-3 Years Experience)

Location: Pratap Nagar, Jaipur

Position: Company Secretary

Roles and Responsibilities:

Ensuring compliance with corporate laws and regulations, including the Companies Act, SEBI regulations, and other legal requirements.

Preparation and filing of statutory documents, forms, and returns with regulatory authorities.

Handling and maintaining corporate records, minutes of meetings, and legal documentation.

Organizing and attending Board meetings, AGMs, and other corporate governance events.

Assisting in the preparation of resolutions, agreements, and contracts.

Providing advice on legal and compliance issues to management and board members.

Liaising with statutory auditors, regulators, and legal advisors.

Managing the corporate secretarial function, including maintaining the companys statutory registers and records.

Drafting and reviewing legal documents such as shareholder agreements, corporate resolutions, and contracts.

Ensuring timely compliance with the filing of returns and reports with the Registrar of Companies (RoC) and other authorities.

Assist in the management of corporate governance activities and provide strategic advice on corporate structures and policies.

Required Qualifications:

A qualified Company Secretary (CS) from ICSI with 2-3 years of experience in a corporate or legal environment.

In-depth knowledge of the Companies Act, 2013, SEBI guidelines, and other relevant laws and regulations.

Strong communication and interpersonal skills.

Excellent organizational and multitasking abilities.

Proficient in MS Office and familiarity with corporate secretarial software.
